By accessing or using Voritanel ("the Service"), operated by Smart Technology Investments LLC ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the Service. We reserve the right to update these terms at any time, and your continued use constitutes acceptance of any modifications.

2. Description of Service

Voritanel provides estate planning and wealth transfer optimization tools, including federal and state estate tax minimization modeling, gift tax strategy analysis, GRAT (Grantor Retained Annuity Trust) projections, portability election analysis, and charitable trust planning. The Service uses publicly available data from the IRS, state tax authorities, and the Tax Foundation to generate informational projections.

3. Not Legal or Financial Advice

Voritanel is an informational tool and does not constitute legal, tax, or financial advice. We are not a law firm, CPA firm, or registered investment advisor. Estate planning involves complex legal and tax considerations that vary by jurisdiction and individual circumstance. You should consult a qualified estate planning attorney and tax professional before making decisions about trusts, gift strategies, or wealth transfer structures. No attorney-client or advisor-client relationship is created by your use of this Service.

4. Intellectual Property

All content, algorithms, user interfaces, and data compilations within the Service are the intellectual property of Smart Technology Investments LLC. You may not reverse engineer, decompile, or extract the optimization logic. Reports generated by the Service are licensed to you for personal use only and may not be resold or distributed commercially without written permission.

5. Acceptable Use

You agree to use the Service only for lawful purposes related to personal estate planning analysis. You may not use the Service to facilitate tax evasion, money laundering, or any illegal activity. Automated scraping, credential sharing, and circumvention of rate limits are prohibited.

6. API Usage

Developer API access is subject to rate limits and usage quotas defined by your subscription tier. You may not redistribute raw API data or use it to build a competing estate planning optimization service. You may use API data to build derivative applications for your own end users.

7. Limitation of Liability

To the maximum extent permitted by law, Smart Technology Investments LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to incorrect estate tax projections, missed exemptions, suboptimal trust structures, or any financial losses resulting from reliance on the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that estate tax rates, exemption amounts, or state-specific thresholds are current or error-free. Tax laws change frequently and retroactively.

9. Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS in Los Angeles County, California, under its Streamlined Arbitration Rules. You agree to waive your right to a jury trial and to participate in class action lawsuits. The arbitrator's decision shall be final and binding.

10. Governing Law

These Terms are governed by the laws of the State of California without regard to conflict of law principles. Any litigation not subject to arbitration shall be brought exclusively in the courts of Los Angeles County, California.
